3. User Obligations
By using our services, you agree:

- Not to infringe any intellectual property or third-party rights
Delays caused by the Client may impact delivery timelines and costs.
4. Payments & Billing
- All services are chargeable as per agreed quotation or invoice
- Payments must be made via approved methods (bank transfer, UPI, payment gateway)
- Unless otherwise agreed, invoices are due upon receipt
- Late payments may result in:
- Suspension of services
- Additional charges or interest (if applicable)
All fees are exclusive of applicable taxes (including GST).
5. Refunds & Cancellations
Refunds and cancellations are governed by our Returns & Cancellation Policy, available on our website.
By agreeing to these Terms, you also agree to that Policy.
6. Intellectual Property
- All intellectual property developed by CodeCluster remains the property of the Company until full payment is received
- Upon full payment, ownership of deliverables may be transferred as agreed in writing
- The Company retains the right to:
- Reuse generic components, frameworks, and knowledge
- Showcase work in portfolio unless restricted by NDA
Clients must ensure that any materials they provide do not infringe third-party rights.
7. Confidentiality
Both parties agree to:
- Maintain confidentiality of all proprietary and sensitive information
- Not disclose such information without prior written consent
This obligation survives termination of the agreement.
8. Third-Party Services
Our services may involve third-party tools or platforms (e.g., hosting, APIs, cloud services).
- The Company is not responsible for failures, downtime, or changes in third-party services
- Associated costs will be borne by the Client unless otherwise agreed
9. Project Timelines
- Timelines are estimates unless explicitly defined as fixed
- Delays may occur due to:
- Client-side dependencies
- Scope changes
- External factors
The Company shall not be liable for delays beyond its control.
10. Limitation of Liability
To the maximum extent permitted by law:
- CodeCluster shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of data, revenue, or business opportunities
- Total liability shall not exceed the amount paid for the specific service
11. Indemnification
You agree to indemnify and hold harmless CodeCluster from any claims, damages, or losses arising from:
- Your misuse of services
- Violation of these Terms
- Infringement of third-party rights
12. Termination
We reserve the right to suspend or terminate services if:
- Payments are not made on time
- There is a breach of Terms
- The Client engages in unlawful or abusive conduct
Upon termination:
- All outstanding dues become immediately payable
- No refunds will be issued for completed or ongoing work
13. Force Majeure
We shall not be liable for failure or delay due to events beyond our control, including:
- Natural disasters
- Government restrictions
- Internet or infrastructure failures
- Third-party disruptions
14. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.
15. Changes to Terms
We reserve the right to update or modify these Terms at any time.
