Refund & Cancellation Policy
Overview
This Refund & Cancellation Policy (“Policy”) forms an integral part of the Terms of Service of CodeCluster Private Limited (“Company”, “we”, “us”, or “our”).
Our refund and cancellation policy lasts 7 (seven) calendar days from the date of invoice issuance or formal acceptance of the service (“Effective Date”), whichever is earlier. If 7 days have passed since the Effective Date, we shall not be obligated to offer any refund or exchange.
By engaging our services, you (“Client”, “you”) agree to this Policy.
Nature of Services
CodeCluster provides custom software development, consulting, deployment, automation, and digital services, which are:
- Intangible
- Custom-built to client requirements
- Non-resalable and non-reversible once delivered
Accordingly, refunds are limited and subject to strict evaluation.
Eligibility for Refund
A refund request will only be considered if:
- Raised within 7 days of the Effective Date
- The service has not been substantially performed or delivered
- There is a material failure to deliver as per mutually agreed scope or documented requirements
- The issue is attributable solely to CodeCluster and not due to client delays, dependencies, or third-party failures
All refund requests must be submitted in writing to support@codecluster.in.
Non-Refundable Services
The following are strictly non-refundable:
- Completed deliverables or milestones approved by the Client
- Custom-developed software, code, or automation workflows
- Consulting, advisory, or strategy sessions already conducted
- Deployment, DevOps, or infrastructure setup services
- Subscription, retainer, or sprint-based services already utilized
- Third-party costs including but not limited to hosting, APIs, licenses, domains, cloud services, or tools
Additional Non-Returnable Items
- Downloadable software or digital assets
- Source code, documentation, or design deliverables
- Any deliverable shared via digital means
Proof of Purchase
To process any request, the Client must provide:
- Valid invoice or transaction reference
- Project or service details
- Written explanation with supporting evidence (if applicable)
Failure to provide sufficient documentation may result in rejection.
Partial Refunds
Partial refunds may be granted at our sole discretion in cases where:
- Work has been partially completed
- Resources have been allocated
- Milestones have been delivered (even if not fully accepted)
In such cases, refunds will be prorated based on effort, time spent, and costs incurred.
Refunds
- All approved refunds will be processed within 7–10 business days
- Refunds will be credited to the original payment method only
- The Company reserves the right to deduct:
- Payment gateway charges
- Taxes (including GST, where applicable)
- Administrative or processing fees
Late or Missing Refunds
If you have not received a refund:
- Check with your bank or payment provider
- Contact your credit card company
- Allow reasonable processing time

Cancellation Policy
- Clients may request cancellation within 7 days, provided work has not substantially commenced
- If work has begun, cancellation will result in proportionate charges based on work completed
- No cancellations are permitted for:
- Ongoing sprint cycles
- Retainer agreements
- Time-bound delivery commitments
The Company reserves the right to terminate services in case of:
- Non-payment or delayed payment
- Breach of agreement
- Abusive, unlawful, or non-cooperative behavior
In such cases, no refund shall be applicable.
Exchanges / Revisions
As services are digital, exchanges are not applicable. However:
- We will provide bug fixes or corrections within the agreed scope
- Any additional work outside scope will be chargeable
Limitation of Liability
To the maximum extent permitted under applicable law:
- CodeCluster shall not be liable for any indirect, incidental, or consequential damages, including loss of business, revenue, data, or profits
- Our total liability shall not exceed the amount paid by the Client for the specific service
Force Majeure
We shall not be held liable for delays or failure in performance due to events beyond our reasonable control, including but not limited to:
- Natural disasters
- Government actions
- Internet or infrastructure failures
- Third-party service disruptions
Governing Law & Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts located in Bangalore, Karnataka.
Amendments
We reserve the right to modify this Policy at any time without prior notice. Updated versions will be posted on our website.
Continued use of our services constitutes acceptance of the revised Policy.
